Event Description

Risks to corporations from criminal and civil government enforcement actions have risen steadily over the years. Directors have a duty of oversight to see that their corporations are operating within the law and that they have robust compliance programs in place to reduce the risk that they will engage in unlawful activities. This panel will discuss trends in government enforcement against corporations, and how directors can help both their corporations and themselves to avoid criminal and other liability.

Evelyn Cruz Sroufe is a securities partner with the law firm Perkins Coie, and a frequent speaker and author on corporate governance issues. Ms. Sroufe also serves as a board member of the Virginia Mason Healthcare System.

Ms. Sroufe is past director of Willamette Industries, Inc., Portland, OR, and Past President and CEO of The WebSea Group, Inc. She was a Vice President with Microsoft Corporation and a Senior Vice President of Worldwide Operations with Visio Corporation.

Brendan McDonnell

Brendan McDonnell is a Partner with the law firm K&L Gates and counsels clients on corporate and securities laws, mergers and acquisitions and public and private financings, including private equity and venture capital transactions. His practice focuses on the legal and business issues affecting public and private growth companies, both in the technology and non-technology sectors. He also regularly represents some of the regions most active private equity funds.

Brendan counsels companies on a variety of everyday business issues including advice on securities laws, corporate laws (including director and officer duties), executive compensation plans and general corporate contracts. He has worked with clients at every stage of development, frominitial formation to Fortune 1000 status.

Brendan understands the importance of learning a client's business before providing business critical legal advice and works directly with hisclients to implement tailored solutions to their complex business problems.

Mr. McDonnell’s accounting background affords him an advantage in understanding his clients’ business and financial objectives. He served on the board of directors of Hollis Eden Pharmaceuticals, Inc. (NASDAQ: HEPH) from 1996 to 2008, including service on the compensation, audit and nominating committees. In 2000 and 2001, Brendan served as an adjunct professor of law at Northwestern School of Law of Lewis & Clark College.

The annual NACD’s Director of the Year awards event recognizes leadership and accomplishment of corporate and not-for-profit directors in the Northwest region. This event is conducted by the only not-for-profit membership organization founded by and for corporate directors. Past award recipients include Dan Evans, Gerry Grinstein, Gary Reed, Orin Smith, Sally Narodick, Sally Jewell, Shan Mullin, Judy Runstad, James Judson, Tom Alberg, Phyllis Campbell, and Peter van Oppen. Join us as we celebrate and honor some of the nation’s most engaged corporate directors—boardroom leaders of Northwest-based companies who have created tremendous value.

300 corporate directors, executives, CEOs, general counsels, governance specialists, professionals, and attendees who respect and admire the accomplishments, the integrity and the ethics of the best of those who serve--out of the limelight--on the corporate and non-profit boards in the Northwest region.

Respected CEOs, corporate governance leaders, experts and advisors, join forces to honor NACD’s award recipients, complemented by keynotes by regional and national standard-setters in corporate governance.

Nominations and Awards

The 2010 award categories are:

Lifetime Achievement: An independent director (retired or sitting) who has served on one or more corporate boards, with peer and community recognition for outstanding leadership, contributions and integrity at the highest levels over an extended career.

Public Company Director of the Year: An independent director of a public company recognized for outstanding board service, contributions and leadership. Director should be recognized by peers and the business community as a role model in promoting high professional standards for board and director performance.

Private Company Director of the Year: An independent director of a private company recognized for outstanding board service, contributions and leadership. Director should be recognized by peers and the business community as a role model in promoting high professional standards for board and director performance.

Not-for-Profit Director of the Year: An independent director of a not-for-profit organization recognized by peers and the business community for distinguished service and leadership. Director should be recognized as a role model in promoting high professional standards for board and director performance.

Barry Kaplan has broad experience in securities and corporate governance litigation, class action defense, SEC and internal corporate investigations, and complex commercial litigation, including international disputes.

Barry has defended many public companies and their officers and directors in securities class actions, investigations, and derivative litigation, and has litigated many large commercial disputes. Barry is a frequent writer and speaker on securities litigation and corporate law and governance topics, and has taught securities regulation at the University of Washington School of Law. He was the original co-author with Stewart Landefeld of the leading treatise on Washington corporate law, published by LexisNexis.

Bridwell

Brandon Bridwell has more than 16 years of experience in project management, global client coordination and business development. Brandon has a strategic focus and currently leads Ernst & Young’s Portland business development efforts with responsibility for the Oregon market. Brandon is focused on identifying, developing and introducing business strategies aligned with our clients' imperatives.

Brandon has served in senior client executive roles working with local area companies since 1993. Brandon’s experience includes: Director of Business Development for another big four accounting firm and serving as Senior Vice President of Client Service for a global risk management firm in Portland. Brandon received his undergraduate degree from Arizona State University in Purchasing & Logistics Management.

He is a Portland Business Journals 40 under 40 award recipient and is involved in a number of community organizations including as a Board Member with CASA of Multnomah County.

michael laney

Michael Laney has over thirty-five years of senior level executive management experience as President, Chief Operating Officer or Chief Financial Officer for divisions of Fortune 50 companies (Disney and Warner Bros.) as well as smaller, privately owned for-profit companies and not-for-profit organizations. His expertise is in the areas of board advisory services, strategic planning, SEC and financial operations, marketing and promotion, management information systems, organizational planning, leadership and communication. He currently serves on two Advisory Boards: Industrial Metal Supply Co. and Kravitz. He is also a member of the METRO Audit Committee.
